Terms & Conditions

These terms govern your use of the HRPay platform and services. By accessing or using HRPay, you agree to be bound by the terms set out below.

Definitions

  • "HRPay" / "Company" / "We" means HRPay Technologies Pvt. Ltd., incorporated in India.
  • "Platform" means the HRPay SaaS product, including its web application, APIs, and mobile interfaces.
  • "Customer" / "You" means the organisation or individual that has subscribed to or is accessing the Platform.
  • "User" means any employee, administrator, or authorised representative of the Customer who accesses the Platform.
  • "Subscription" means the paid plan under which the Customer is granted access to the Platform.
  • "Data" means any payroll, HR, financial, or personal information processed through the Platform.

Acceptance of Terms

By signing up for, accessing, or using the HRPay Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, all incorporated herein by reference.

If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.

If you do not agree to these Terms, you must not access or use the HRPay Platform. Continued use constitutes ongoing acceptance of the current Terms.

Account Registration & Access

To access the Platform, Customers must complete the registration process and create an account with accurate, current, and complete information.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • Notify HRPay immediately at support@hrpay.in upon becoming aware of any unauthorised access.
  • HRPay reserves the right to suspend or terminate accounts that breach these Terms or exhibit suspicious activity.
  • Each subscription is for the named organisation only. Sharing credentials across unrelated entities is prohibited.

Permitted & Prohibited Use

HRPay grants you a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal HR and payroll management purposes. You must not:

  • Reverse engineer, decompile, or attempt to derive the source code of the Platform.
  • Resell, sublicense, or otherwise commercialise access to the Platform without written authorisation.
  • Use the Platform to process data on behalf of third-party organisations not covered by your Subscription.
  • Upload malicious code, conduct penetration testing, or attempt to circumvent security controls.
  • Use the Platform in any way that violates applicable laws, including labour, tax, or data protection legislation.

Subscription, Billing & Payment

All fees are quoted in Indian Rupees (INR) and are exclusive of GST unless stated otherwise.

  • Billing Cycle: Subscriptions are billed monthly or annually in advance as per your chosen plan.
  • Auto-Renewal: Subscriptions auto-renew unless cancelled at least 7 days before renewal.
  • Late Payment: Unpaid invoices beyond 15 days may result in Platform suspension. Interest may accrue at 1.5% per month on overdue amounts.
  • Price Changes: HRPay may revise pricing with 30 days' written notice.

Intellectual Property

The Platform and all associated technology, trademarks, designs, and documentation are the exclusive intellectual property of HRPay Technologies Pvt. Ltd. These Terms do not transfer any IP ownership to the Customer.

You retain full ownership of all Customer Data you upload or generate through the Platform. By providing data, you grant HRPay a limited licence to process it solely to deliver the contracted services.

Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the business relationship and to use such information only for the purpose of performing obligations under these Terms. This obligation survives termination for a period of 3 years.

Data Processing & Privacy

HRPay acts as a data processor for payroll and employee data on behalf of Customer organisations (data controllers). Enterprise Customers may request a Data Processing Agreement (DPA) by contacting legal@hrpay.in. Full details are in our Privacy Policy.

Disclaimers & Service Availability

The Platform is provided on an "as is" and "as available" basis. While HRPay targets 99.9% uptime, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance.

HRPay is not a legal, tax, or financial advisory firm. Customers remain responsible for verifying the accuracy of all compliance outputs and for their own regulatory obligations.

Limitation of Liability

To the maximum extent permitted by law, HRPay's total aggregate liability shall not exceed the total fees paid by the Customer in the 12 months preceding the claim.

HRPay shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages. This limitation does not apply to losses arising from gross negligence or wilful misconduct.

Indemnification

You agree to indemnify, defend, and hold harmless HRPay, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Platform in violation of these Terms, your breach of applicable law, or any third-party claims arising from your Customer Data.

Termination

Either party may terminate the Subscription with 30 days' written notice prior to the end of the current billing period. HRPay may terminate immediately if you materially breach these Terms and fail to remedy the breach within 15 days of notice.

Upon termination, Customer Data will be available for export for 30 days, after which it will be securely deleted per our retention policy.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra. The courts of Mumbai shall have exclusive jurisdiction for matters not resolved by arbitration.

Amendments to These Terms

HRPay reserves the right to update these Terms at any time. Material changes will be communicated via email and in-app notification at least 14 days in advance. Continued use of the Platform after the effective date constitutes acceptance.
